KeyVid AI - Terms of Use

1. Who We Are
KeyVid AI ("KeyVid," "we," "us," or "our") provides AI-powered tools that help you extract insights, visual context, and action items from regular video, meeting recordings, and other video content. Our services may include AI notes, moments, voice/search/chat interfaces, integrations with productivity tools, and more.
2. Eligibility
To use the Services, you must:
Be at least 13 years of age or the age of majority in your jurisdiction
Have the full legal capacity to enter into binding agreements
Use the Services only for lawful purposes and in accordance with these Terms
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration & Security
You need to create an account to access all features of the Services. You agree to:
Provide accurate, current, and complete information during registration.
Maintain the security of your login credentials.
Notify us immediately of any suspected unauthorized use of your account.
Be solely responsible for all activity under your account, whether or not you authorized it.
We reserve the right to suspend or terminate your account if you provide false information or violate these Terms.
4. Description of Services
KeyVid AI offers AI-powered tools that generate intelligent insights, tag moments, visual cues, action items, and audio/text insights from videos, meetings, and recordings.
Services may include:
Providing the means to process your videos by either uploading them directly to the platform or through using the hosted video url link (we only support Youtube links for now)
AI analysis
Notes and insight generation
Podcast-style audio summaries (on demand)
Visual analysis of uploaded video content
Integrations with third-party platforms like Google Drive, Notion, and Zapier etc.
5. Subscription Plans, Billing, and Refunds
KeyVid AI offers a Free forever tier, a Plus subscription (from $10 monthly), and a Pro plan (custom pricing). Each tier includes different levels of usage, features, and credits.
5.1 Payment Terms
You authorize us to charge your payment method at the beginning of each billing cycle.
All fees are non-refundable except as explicitly stated in Section 5.3 below
Subscription plans automatically renew unless canceled before the end of the current cycle.
5.2 Cancellation
You may cancel at any time via your account dashboard.
After cancellation, your plan will remain active until the end of the billing period.
Downgrading or canceling does not entitle you to a partial refund for unused credits.
5.3 Refunds
You may request a refund within 48 hours of initial billing if dissatisfied.
Refunds will not be issued for repeated refund request or bulk credit usage followed by cancellation.

We would process refunds within 7 to 14 business days.
6. Acceptable Use Policy
By using the Services, you agree not to:
Upload, share, or process content that is illegal, defamatory, abusive, or violates third-party rights.
Interfere with or disrupt the Services or servers.
Attempt to gain unauthorized access to other accounts or systems.
Use bots, scrapers, or automated scripts that burden or manipulate the Services.
Use our Services to develop competing software or train third-party AI models.
Violation may result in account suspension, termination, and legal action.
7. User Content and Rights
7.1 Ownership
You retain full ownership of your videos and the results you get from your uploaded videos, including but not limited to notes, moments, insights, actions, generated audio, and any other associated data.
7.2 License
By using KeyVid, you grant us a limited, non-exclusive, revocable license to process your content for the purpose of providing our services (e.g., generating insights, visual analysis, etc.). We do not claim ownership of your content, and we do not use it to train our models.
7.3 Data Retention
Free-tier content may be deleted after inactivity.
Plus users' data is retained until manually deleted.
Pro users may define custom data retention policies via an agreement.
8. AI Use, APIs, Limitations and Third-Party Services
KeyVid uses and integrates with large language models (LLMs) from third parties (e.g., OpenAI, Gemini, etc.) to generate insights and power our other services. These models may produce incorrect or misleading output. You are solely responsible for verifying any decisions or actions based on the platform's output. We are not liable for any business, legal, or personal harm that results from using AI-generated insights.
Data shared with these third party services may include the video metadata, prompts, and user inputs, which are solely for generating outputs. It is important to note that we:
Do not allow these providers to train on your data.
Comply with their respective data usage policies.
We may also integrate with third-party tools like Google Drive, Notion, Salesforce, Zapier, etc. You are responsible for reviewing and accepting any third-party terms when you connect your accounts. We are and will not be liable for data loss, corruption, or misuse caused by third-party platforms.

9. Data Privacy and Security
Your use of KeyVid is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. This includes disclosures regarding use of third-party AI APIs and optional integrations. If you plan on using our services on content that will require HIPAA compliant, then your data handling will be governed by additional terms along with a Data Processing Agreement (DPA), available upon request.
It is important to note that we take data protection seriously, hence making sure that:
All transmissions are encrypted using TLS/SSL.
Stored data is encrypted at rest.
Access is restricted via role-based permissions.
Payment data is handled by PCI-compliant third parties.

10. Intellectual Property
All software, algorithms, branding, UI/UX, and documentation are the exclusive property of KeyVid AI and its licensors. You may not:
Copy, reverse-engineer, or distribute any part of our platform.
Use KeyVid's branding without prior written permission.
11. Termination
We reserve the right to suspend or terminate your account:
For breach of these Terms
For fraudulent, abusive, or harmful behavior
If reasonably required by law
You may also choose to terminate your account at any time. Upon termination, your access and license to use KeyVid cease immediately, and data deleted.
12. Limitation of Liability
To the fullest extent permitted by law, KeyVid AI is provided “as is” without warranties of any kind. We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities. For any direct damages that cannot be legally disclaimed, our total liability to you will not exceed the amount you paid for KeyVid AI services in the past two (2) months immediately preceding the claim.
13. Indemnity
You agree to indemnify, defend, and hold KeyVid AI harmless and faultless from any claims, liabilities, damages, and expenses arising from:
Your use or misuse of the platform
Your uploaded content
Your violation of these Terms
Infringement of third-party rights
14. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we’ll notify you through email or in-app. Your continued use of the platform after changes take effect (re)constitutes your agreement.
